Terms & Conditions 

 

 

The order for the goods as specified is subject to confirmation and intended to be legally binding and immediately effective on the part of the customer and cancellation of the whole or any part will be at the sole discretion of Eurosat Distribution (Western) (hereinafter called “the Company”).The costs of materials and of manufacturing and of administration incurred in the preparation of the order to the date of any cancellation agreed by the Company will be borne by the customer and any such agreed cancellation will at all times be subject to prior payment of such costs. 

 

 

The prices indicated on our order confirmation are those applicable of the date there of. In the event of any increase in prices during the period between the order confirmation and the date of delivery we shall have the automatic right to increase prices indicated to the customer. 

 

 

These terms are subject to credit references being supplied and being satisfactory to the Company. A Bankers and two trade references are required for each customer.The Company reserves the right to amend credit terms or withhold deliveries pending settlement of overdue accounts.Interest on overdue accounts will be charged at the rate of 5% above Base Rate as at the date of expiration of the stipulated period of payment. 

 

 

If the customer does not fulfil in whole or in part the obligations arising from his order or if a credit reference previously given is withdrawn or reduced we have the right to suspend or cancel the execution of the order without having to notify this to the customer and to reclaim Goods which are already being delivered. Such Goods must be delivered to us within twenty-four hours and at the expense of the customer.We may at any time cancel deliveries in the event of bankruptcy, insolvency or temporary suspension of payment by the customer or if for any reason we consider the Customer’s Financial situation does not justify completion of deliveries or if the customer dies or transfers his business.Any cancellation under this provision, shall be without prejudice to our claim against the customer in respect of any damages suffered by us and shall be without any liability whatsoever to the customer. 

 

 

All prices quoted are exclusive of carriage charges.Delivery dates indicated on our order confirmation are estimates only and are not an essential condition of our performance. We shall use all reasonable endeavours to deliver the goods to the customer on the date indicated. 

 

 

Any discrepancies or complaints relating in any way whatsoever with the goods delivered to the customer or any claims in respect of damage thereto must be received by both the Company and the Carrier, in writing, within 7 days of delivery, otherwise the Company reserves the right to reject without other explanation any such claims or complaints. 

 

 

Goods as specified on invoice remain the property of the Company until payment in full has been received. No assignment of goods on debtThe foregoing terms and conditions are to remain in full force and have full effect notwithstanding any variation to the contrary unless such variations are in writing and signed by a Director of the Company.
